09/22/08 - Motion: To clarify ARC By-Laws ARTICLE
III, SECTION 4. Removal. The Secretary shall keep a voting record of
each Board Member. Any Board Member who fails to vote on at least 75%
of all Board issues submitted within a 6-month period shall be automatically
removed from the Board. The Secretary shall also keep a record of all
meetings attended by each Board Member. Any Board Member who is absent
for 2 meetings within a 12-month period, unless excused by a majority
of the Board, shall be automatically removed from office. Clarification
is to establish guidance and understanding regarding voting and meeting
attendance. REGARDING VOTING: When a member of the ARC board returns
a completed ballot on a motion to the Secretary, that ballot, properly
marked as “APPROVE”, “REJECT”, or “ABSTAIN” will be considered a “vote”
with respect to the referenced by-law since participation in the voting
process is apparent. With the exception of being counted as a “vote”
in the voting process, a vote to abstain will have no impact on the
results of the motion since the only ballots counted for pass or fail
results are those marked to “APPROVE” or to “REJECT”. Further, when
any Board Member is notified that they are near falling below the 75%
vote requirement, that notice must be sent to all Members of the Board.
REGARDING MEETING ATTENDANCE: In order for a Board member to be excused
from a meeting by a majority of the Board as directed by the referenced
by-law, the Board must discuss and vote whether or not to excuse. Therefore,
during each Board Meeting the Secretary shall call for discussion and
vote regarding excusal of any absent Board Member from that meeting.
